Every process runs under strict confidentiality. Before disclosing the plant's identity, sharing documentation, or contacting potential buyers, we sign a non-disclosure agreement. The data room opens only for parties who pass verification.
Six steps from valuation to plant hand-over.
- Step 01
Valuation and documentation
We use income (DCF), asset (replacement-cost), and comparable valuation methods — picking the right approach for the sector and available data. We prepare the technical and financial documentation.
- Step 02
Buyer identification
We identify and approach potential buyers — after an NDA is signed. We prepare the teaser and information memorandum (IM), and run the data room.
- Step 03
Due diligence
We organise detailed due diligence — financial, technical, and legal review of the plant. We work with experienced auditors and sector specialists.
- Step 04
Negotiating terms
We negotiate with interested parties, working to secure the best possible terms for our client. We agree on the key elements of the transaction structure.
- Step 05
Closing
We accompany the signing of the notarial deed transferring ownership (asset deal) or the share purchase agreement (share deal) — depending on the agreed transaction structure.
- Step 06
Hand-over and transition
We coordinate a smooth hand-over of management to the new owner. We advise on the information duties under art. 23¹ of the Polish Labour Code (transfer of an undertaking) and coordinate transition support.
